Our corporate client, a digital marketing company, entered into a referral agreement with a well known and major payment gateway and merchant services provider to refer prize draw and competition businesses that needed payment gateways.
Our client would receive a commission from the company for businesses it would refer to the payment gateway.
However, without any notice or authorisation, the opponent sought to unilaterally terminate the agreement with our client without any cause and sought to stop payment any future commission payments immediately.
The opponent was prevented from doing so under the referral agreement without prior notice and without providing our client with 12 months commission payments for legacy clients that they had referred to the opponent in the years prior to termination.
Our expert lawyers prepared a detailed and carefully articulated letter before claim which is a precursor to litigation to the opponent’s legal department. If our client’s position was disputed, we had been instructed to commence litigation without further notice.
